Our Origins 680 years of combined product knowledge, history and experience in the housewares industry. Typhoon Homewares is the creative home of a group of British heritage brands with products that span both the kitchen and table top markets. Our brands consisting of Kilner ® , Mason Cash, Typhoon, Price & Kensington and Viners are designed and developed in the UK in conjunction with our US sales team specifically with our customers in mind. How we operate All of our brands are sold individually, but shipped together, allowing us to cater for multiple orders at once. With sales support out of Westbury, NY and a National sales team based out of our showroom at 41 Madison Avenue, NY, join us on our journey from the drawing board to the kitchen counter top. Throughout the years our business has grown, but our aim has remained the same; a wide variety of choice to reflect emerging trends, exciting colors and well- designed quality products with reasonable pricing. Every product is manufactured to the company’s own exclusive design and specification, and all products are packaged to a high standard, ensuring attractive retail displays and rapid sales.

The original Kilner ® Jar is as much-loved and successful now as it was 175 years ago. As we reflect upon the brand’s centuries’ old success, we pay homage to the Kilner ® Jars long-lasting popularity, owed to its distinctive pressure seal and iconic design. Put simply, households all over the world trust it to successfully can and pickle their fruit and vegetables. A surge in popularity for canning home-grown fruit and vegetables, and storing food in jars rather than plastic for its health benefits has catapulted the Kilner ® Jar into the limelight in recent times. Now, not only is it an essential for the kitchen, it has become a statement of style throughout the home.

Mason Cash has been the choice of home cooks and bakers for centuries. The origins of Mason Cash can be traced back to a pottery operating in the heart of the British ceramic industry in 1800. Although Mason Cash has been producing mixing bowls since the 1800’s, in 1901 they designed and manufactured the very first iconic Mason Cash mixing bowl. With over a century of flatware and knife manufacturing experience, Viners is a highly distinguished, trusted and much loved brand, steeped in British Heritage. The illustrious flatware brand dates back to Sheffield, England in 1908. From a small silverware specialist, they grew to be the biggest silver, silver plated and stainless steel kitchenware producer in the UK. With a reputation of high quality products, Viners was issued with a Royal Warrant as Cutlers and Silversmiths to King George V of England. Innovation and design development are intrinsic values associated with the brand, with notable product designs spanning over 50 years. Current day, the brand offers shapes and patterns which reflect what consumers are looking for from contemporary to classic dining ranges which feel great in the hand and are practical to use.

Typhoon Homewares

As one of the traditional Stoke- on-Trent pottery brands, Price and Kensington is a world renowned ceramic tableware company with a history and heritage dating back over 100 years. In 1896 the innovative Price Brothers founded the earthenware manufacturing company in Crown Works, Burslem, England. Specializing in table top accessories and teapots, the brothers quickly became renowned for their distinctive designs. The brothers developed a strong working bond with Kensington Potteries, who specialized in novelty teapots. This bond grew so strong that two companies eventually merged in 1962 to become known as Price and Kensington. Rich in heritage and passionate about tabletop accessories and teapots, the Price & Kensington brand continues to flourish under family ownership. We understand that the kitchen is the heart of the home which remains the fundamental inspiration for our new developments.

Typhoon Homewares Terms Of Business

• Orders are to be submitted to our Customer Care team via email to - customercare@typhoonhomewares.com. • The minimum order for opening orders and re-orders is $250. This is across all five brands and can be combined into one purchase order. • The opening order is to be accompanied with all credit card information and a valid resale certificate. This information should be phoned in securely not via email. • New customers must complete a New Customer Registration Form. • Terms can be offered after a retailers first order. Qualification requires an approved credit rating report. • Checks are payable to Typhoon Homewares LLC. • Online accounts cannot be opened without written approval by Typhoon Homewares LLC and require a signed Online Retailer Agreement. • Typhoon Homewares operates a MAP policy. Our MAP is indicated as MSRPs on all Typhoon Homewares price sheets. • Back orders are allowed but must reach the minimum back order value of $100. Freight charges will apply. Please specify on your order if you do not accept back orders.

• We do not accept returns. • All prices are based on FOB.

• Show specials must be clearly indicated on POs and submitted within the time lines of the promotional period set by Typhoon Homewares and cannot be combined with any other agreed discounts.

Aftersales Process Customers should be advised not to sign for deliveries that include broken merchandise. However, if our customer has received an order and then finds an issue with an item, this is how the problem should be rectified. • When the customer has checked their order against their POD and finds item(s) either missing or damaged, they should notify the Customer Care department within 1 week of receipt of goods. • All claims should be sent to customercare@typhoonhomewares.com. • The claim should include a customer number, the item number(s) of the product in question, the date the item was delivered and the item value. • For co-op orders that bill through corporate but ship direct to store, the store member must file a claim online via the co-op portal to receive credit. We are not able to issue credit memos via our EDI provider. 1. Shortage claim: • Ensure you have a value for each line and total value for the claim. • Confirm that the customer has not received an alternate item that has been mis-picked. • Credit may be issued once the claim is investigated 2. Breakage claim: • Photographic evidence must be supplied by the customer to validate the claim. • If the claim or photographic evidence is indicating that the goods were damaged in transit, the customer needs to have clearly documented this on their proof of delivery at the time of reception of goods.

• A credit for the full value of the item will be issued and can be used towards the customers next PO. • We do not send replacement goods unless this is as part of the customers next order. • We do not send partial cartons. 3. Quality Control claim: • The customer needs to supply photographic evidence, their customer number, an item number and batch number (found on carton) with their claim. • Review the claim, ensuring that the customer is made aware of our manufacturing processes, and product expectations. • If an item is not finished to the correct standard, and therefore cannot be sold as first quality product, then offer 50% credit to compensate and suggest customer sells this as a second. • If the customer rejects this, then a full credit can be issued. • We do not use call tags are they are too expensive and our warehouse is not set up to receive returns. • For major QC issues, the UK team will be notified immediately. 4. Replacements: • We do not offer a sale or return policy. • We do not send replacements to consumers. We ask that they return back to the store from which they purchased their item.

These accounts have warehouse programs which mean the stores order some products from a central warehouse but this is only limited assortment. They can also be serviced directly from Typhoon Homewares on a direct basis which they call ‘ drop-ship ’ orders. These orders automatically qualify the store for net 60 days dating on orders. We require their store number on the PO so we can bill accordingly to corporate (e.g. store #234 Mills ACE Hardware).

RETAILER AGREEMENT

Please sign this agreement in which you acknowledge the following terms: 1. I f sold online Typhoon Homewares LLC can only be sold at the manufacturer’s Minimum Advertised Price (MAP) or up to 10% discount without preapproval. MAP can be found as listed as MSRP on the Typhoon Homewares price lists. 2. A ll Typhoon Homewares images, selling features, copy, descriptions and videos must be provided by Typhoon Homewares. 3. T yphoon Homewares products are not to be resold on 3rd party sites or other internet sites or any distributors without prior approval. 4. W ritten approval is required to add your account to the following websites; Amazon Marketplace, Ebay and/or any other marketplace outside your registered domain name. Typhoon Homewares internet policy has been designed in a way that each customer can maximize their sales of brand. Our MAP policy is strictly enforced. If you violate the terms of this agreement, we reserve the right to refuse future orders from your account. If you see Typhoon Homewares products advertised outside of our MAP agreement, please notify us and we will address it immediately.
